# Ouster: a lidar leader priced for revenue it will not have for years

## Verdict: REDUCE at $41.37

Ouster is growing fast and has a strong balance sheet, but it is not yet profitable and the shares trade 64% above the Base value, slightly above even the Bull value. A 50% margin of safety is required, which puts the buy zone at $12.64 or below.

Ouster makes digital lidar sensors, the 3D eyes of warehouse robots, autonomous tractors, drones and smart traffic intersections, and since buying Stereolabs it also sells stereo cameras and perception software. Revenue is growing more than 50% a year, gross margins are healthy and the balance sheet holds over $450 million of cash. But the company still loses money, and at $41.37 the market pays for years of growth in advance.

At $41.37 on September 24, 2026, the shares trade 63.6% above my triangulated Base value of $25.28, a downside of 38.9% to Base. Even the Bull value of $40.80 is slightly below the price. The required margin of safety of 50% puts the maximum buy price at $12.64. For existing holders the framework verdict is to reduce. New money should wait.

Route: SF-13 Industrials and manufacturing, digital lidar and perception hardware with software, using the framework's fallback for companies without positive free cash flow. Economic classification: Quality Growth, constrained before free cash flow (6/12). Primary method: forward EV to 2027 revenue, adjusted for cash burn. Secondary methods: a normalized profitability model and a revenue multiple reference. Values are present fair-value estimates, not 12-month price targets.

## What Ouster is

Ouster designs lidar sensors built on its own digital chips, manufactured by partners such as Benchmark and Fabrinet, with capacity for 100,000 units a year. Customers use them in industrial automation, robotics, smart infrastructure and, to a lesser extent, automotive: warehouse automation, yard logistics and intelligent transportation drive most current demand. The Stereolabs acquisition, closed in February 2026 for about $70 million in cash and stock, added stereo cameras, AI compute and perception software. The new Rev8 lidar with native color began production in the third quarter.

The character of the business is improving: from a pure lidar vendor after the Velodyne merger toward a broader physical AI perception platform. Hardware still dominates revenue, though, and software does not yet change the economics.

Q2 GAAP gross margin of 49% included a one-time cost refund worth about 10 percentage points, so the underlying margin was about 39%, in line with management's long-term target of 35% to 40%. Operating expenses rose 10% to $46.7 million, and Q2 still showed an operating loss of $20.0 million, a net loss of $18.1 million and an adjusted EBITDA loss of $4.5 million. Management targets 30% to 50% annual revenue growth. I estimate 2026 revenue at about **$219 million**.

## Cash burn and stock compensation

In the first half of 2026, operating cash flow was -$20.0 million and capex $5.2 million, so free cash flow was about -$25.2 million. Stock compensation added $18.9 million of cost that adjusted EBITDA excludes; after deducting it, first-half hard free cash flow was about **-$44 million**. The company also pays customer incentives in the form of stock warrants, which reduce revenue. Adjusted EBITDA near breakeven is not owner earnings: the business still consumes cash and equity.

## Cash, dilution and shares

At June 30, 2026, cash, restricted cash and short-term investments were $262.5 million, with no debt. On July 6, Ouster sold 3.62 million shares at $55.22 for $191.9 million of net proceeds, a well-timed raise about a third above today's price. Pro forma cash is about **$454 million**. After the offering there are about 72.1 million shares outstanding, up about 20% in a year, including at-the-market sales of $98 million in the first half and stock paid for Stereolabs. The valuation uses 75 million forward diluted shares. At $41.37, market value is about $2.98 billion and enterprise value about $2.53 billion, or about 11.5x estimated 2026 revenue. Management says it does not expect to need more capital to reach profitability.

Base growth of 35% sits in the middle of management's 30% to 50% target range. A 5x sales multiple is generous for a hardware business with gross margins near 40% that has not yet earned a profit. Estimated twelve-month cash burn of $40 million in the Base case is deducted from cash. The primary Base value is **$25.25**.

## Secondary valuation: normalized profitability

Suppose revenue keeps growing 30% a year after 2027, reaching about $650 million in 2030, and Ouster earns an EBITDA margin of 16% after stock compensation, a healthy level for mature perception hardware. That gives about $104 million of hard EBITDA. At 25x, plus about $350 million of remaining cash, divided by 78 million shares to allow for further dilution, the value is about $37.83 per share in 2030, or **$26.17** today discounted at 12% a year, a rate that reflects the stock's very high volatility. These inputs are estimates.

## Revenue multiple reference

Ouster's valuation history is a weak anchor: the Velodyne merger changed its scale, share count and cost structure, and the stock has ranged from $16.40 to $63.79 in the past year alone. Applying 6x to estimated 2026 revenue, a multiple more typical of profitable automation and vision companies, plus cash, gives about **$23.60**, with low weight.

The primary and secondary methods diverge by only 3.6%. Three very different approaches point to the mid $20s. The secondary and reference methods exist only for the Base case, so the Bear and Bull values come from the primary method alone.

## What is the market already pricing in?

At the Base multiple of 5x, the $41.37 price implies 2027 revenue of about **$538 million**, roughly 2.5 times estimated 2026 revenue and far above even the top of management's growth target. Put the other way, at Base revenue of $296 million the price implies about **9.1x forward sales** for a company that has never earned a profit. Analysts are bullish, with an average target near $59, and the shares sold at $55.22 in July. The market is paying for Ouster as a physical AI platform, not as a lidar hardware business.

**Bear:** the Rev8 transition slows orders, falling selling prices pressure margins, and the market pays a hardware multiple for a company still losing money. **Base:** growth in the middle of management's target range and steady progress toward breakeven. **Bull:** the top of the growth target, Rev8 and Stereolabs succeed and the market keeps paying a physical AI premium of 8x sales.

The probability-weighted value is **$25.53**, 38.3% below the price.

## How the buy price is set

Confidence C starts at a 40% margin of safety. Five points are added for pre-profit model risk and five for technology adoption and dilution risk, for 50%. There is no leverage penalty. Half of the $25.28 Base gives a **maximum buy price of $12.64**.

## Dividend

Ouster pays no dividend and is a reinvestment story.

## Reasons to own OUST

- **Fast growth.** Q2 revenue grew 56%, product revenue has grown for 14 straight quarters.
- **Technology.** Digital lidar on in-house chips, now with native color in Rev8, supports scalable manufacturing economics.
- **A strong balance sheet.** About $454 million of cash and no debt; management does not expect to need more capital.
- **Broad markets.** Industrial automation, robotics, drones, agriculture and smart infrastructure, with physical AI as a long runway.
- **Smart capital allocation.** Equity was raised at $55.22, about a third above today's price.

## What could go wrong?

- **Valuation.** The price sits above the Bull value. A growth slowdown before profits arrive is the main thesis breaker.
- **No profits yet.** Operating losses of about $20 million a quarter and negative free cash flow after stock compensation.
- **Dilution.** The share count rose about 20% in a year.
- **Margins.** Q2 gross margin was flattered by a one-time refund, and selling prices are falling.
- **Competition.** Lidar remains technologically competitive and price-sensitive, including low-cost Chinese suppliers.
- **Execution.** The Rev8 transition will take about two years, and Q3 guidance is roughly flat.

## Management execution

Management has delivered strong growth, integrated Stereolabs, launched Rev8 and raised capital at a high price. On the other side, operating expenses are growing faster than earlier targets, losses persist and the share count keeps rising. Management credibility scores **13/20**, good with a profitability caveat.

## Adversarial review

Every reported input comes from the Q2 2026 results, the Form 10-Q and the July offering documents, and every estimate, including 2026 revenue, cash burn and the 2030 profitability path, is labeled as such. The two main valuation methods were built independently and land within 4% of each other. The weakest link is the secondary model's long-range margin and dilution assumptions, which is why it carries 30% of the weight.

The strongest counter-argument is that Ouster is becoming a physical AI perception platform, with digital lidar, cameras and software sold into robotics, drones and infrastructure, and that analysts' targets near $59 and the July raise at $55 show demand for exactly that story. If revenue grows 50% a year for several years while gross margin holds near 40% and software becomes material, today's price can be justified. That is the Bull case, and it lands only at about today's price.

Ouster has real momentum, differentiated technology and a strong balance sheet, but the price already exceeds what the optimistic scenario supports.

For an existing holder, trimming locks in part of a strong move while the story is at its most popular. New money waits for $12.64 or below, or for proof of sustained profits that would justify a higher Base.

The main thesis breaker is growth slowing before Ouster proves durable positive free cash flow per share.
