Red Cat Holdings: revenue up 527%, but the price already expects the rest

Red Cat builds small military drones, including the Black Widow reconnaissance system used by the U.S. Army, and is adding uncrewed boats and autonomy software. Revenue is exploding and the company has $326 million of cash. But it is not yet profitable, and at $6.80 the market already pays for most of the growth management has promised.
At $6.80 on September 24, 2026, the shares trade 7.2% below my triangulated Base value of $7.33, an upside of 7.8%. The Bear value of $3.86 is 43.3% below the price, and the required margin of safety of 55% puts the maximum buy price at $3.30. For existing holders this is a hold. For new money it is a watchlist name.
Route: SF-13 Industrials and manufacturing, early-scale aerospace and defense unmanned systems maker. What Red Cat is
Red Cat is a U.S. maker of small uncrewed aircraft for defense and national security. Its Teal Drones subsidiary produces the Black Widow, and it recently acquired maritime and autonomy businesses including FlightWave, Apium, Quaze and Blue Ops. In the first half of 2026, $34.9 million of its $35.7 million revenue came from products, so economically it is a hardware manufacturer, not a software company.
The character of the business is changing, from a small drone maker toward a multi-domain autonomy platform. That widens the addressable market but adds integration risk. One customer generated 51% of first-half revenue, so no platform premium is justified until customers are more diversified and margins convert to profit.

Management reaffirmed 2026 revenue guidance of $150 to $180 million and targets a 30% gross margin by the end of 2026. It says it has $50 to $80 million of drones in inventory ready to ship. Teal Drones advanced to the second phase of the U.S. Drone Dominance program. Revenue was $40.7 million in all of 2025.
Why revenue alone is not enough
At the $165 million guidance midpoint, the second half needs about $129 million of revenue, more than 3.6 times the first half. Revenue is therefore valued only with an explicit bridge to gross margin, operating costs and cash burn. Positive earnings and free cash flow do not exist yet, so a mature defense company's EV to EBITDA or price to free cash flow cannot be used.
Much of the first-half cash use went into inventory, which rose by $54 million. That inventory should convert to revenue in the second half, but losses are still large: Q2 adjusted EBITDA was about -$32 million. Until margins reach roughly 30% and revenue scales, the company will keep consuming cash.
Cash, dilution and shares
Adjusted net cash was about $307 million at June 30, 2026. Shares outstanding rose from 120.1 million at the end of 2025 to 152.7 million at June 30, 2026, about 27% in six months, mainly from a May offering of 27.5 million shares. Options, warrants, restricted stock, convertibles and acquisition consideration add more. The valuation uses 160 million forward diluted shares. At $6.80, market value is about $1.04 billion and enterprise value about $731 million, roughly 4.4x the 2026 revenue guidance midpoint.
Primary valuation: forward EV to revenue
The primary method applies an EV to sales multiple to 2027 revenue, then adds net cash after the cash the company is expected to burn over the next twelve months before it can approach breakeven. That burn is an estimate: $100 million in the Base case, $140 million in the Bear and $70 million in the Bull.

Secondary valuation and peer check
A normalized long-range profitability model, assuming several hundred million dollars of revenue, gross margins in the high 20s to low 30s and eventually mid-teens EBITDA margins, discounted at a high required return, gives about $6.90 per share. Its detailed inputs are estimates.
Mature peers traded around 4x sales (AeroVironment) and 4.8x EV to sales (Kratos) in late September 2026. A blended peer cross-check gives about $7.20, with low weight. Red Cat's own history is a weak anchor because revenue, fiscal periods, acquisitions and share count changed rapidly.

What is the market already pricing in?
At 4x sales, and after the Base cash burn, the $6.80 price implies 2027 revenue of about $220 million. The market therefore assumes that 2026 guidance is largely met and growth continues strongly into 2027, with gross margin rising toward 25% to 30% and dilution slowing sharply. Upside needs more than that.

How the buy price is set
Confidence C starts at a 45% margin of safety here. Five points are added for customer concentration and five for model and profitability uncertainty, for 55%. A 55% discount to the $7.33 Base gives a maximum buy price of $3.30, and only if the thesis is intact.

Reasons to own RCAT
- Structural demand. The U.S. and its allies want more small, domestically made unmanned defense systems.
- Military validation. The Black Widow is procured by the U.S. military and allies, and Teal Drones advanced in the Drone Dominance program.
- A strong cash position. $325.6 million of cash provides substantial runway.
- Platform optionality. Maritime and autonomy acquisitions broaden what Red Cat can sell.
- Operating leverage. If scale and margins improve together, profits could grow faster than revenue.
What could go wrong?
- The second-half ramp. 2026 guidance needs more than 3.6 times first-half revenue. A large miss is the main thesis breaker.
- Customer concentration. One customer provided 51% of first-half revenue.
- No profits yet. Revenue growth has not produced positive operating earnings or free cash flow.
- Dilution. Share issuance and acquisition consideration can stop company growth from becoming per-share value.
- Internal controls. Material weaknesses were reported at June 30, 2026.

Adversarial review
The first draft's arithmetic mostly reconciled; one sensitivity cell was slightly off. The main correction is conceptual. The draft valued 2027 revenue with a mature-company EV to sales multiple but added the full $307 million of June cash, as if the company would stop burning cash immediately. Red Cat used $78.7 million of operating cash and $12.6 million of capex in the first half alone. Deducting an estimated twelve months of burn lowered the primary Base from $8.17 to $7.54, the triangulated Base from $7.71 to $7.33, the Bear from $4.50 to $3.86 and the maximum buy price from $3.47 to $3.30. The Bull rose slightly, from $13.50 to $13.86, because the draft's Bull had not been derived from its own method. The verdict is unchanged. The draft's twelve-month price-touch probabilities were dropped as not part of the framework.
The strongest counter-argument is that defense drone procurement is entering a structural supercycle and the Black Widow could become a scaled program of record, which would justify a much higher multiple. That upside is the Bull case. Low gross margin, negative free cash flow and dilution prevent using Bull economics as the Base before execution is visible.

No reasonable test moves the maximum buy price anywhere near today's price. The publication gate status is PASS_WITH_WARNING: profitability timing, cash burn and the secondary model's inputs remain materially uncertain.

Red Cat has real strategic optionality in U.S.-aligned unmanned defense systems and a strong cash balance, but the price already requires a production and margin ramp that is not yet visible in cash earnings.

For an existing holder with a position sized for this risk, holding through the second-half ramp is reasonable. New money waits for $3.30 or below with the thesis intact, or for proof of scaled revenue and margins without heavy new dilution.
The main thesis breaker is a failure to convert the second-half production ramp into materially higher gross profit without renewed heavy dilution.
